BUSINESS ___________________________________ Above-named client _________________ (referred to hereinafter as “Client”) has engaged Dave's Web Design for the specific purpose of developing a web site called ____________________ that will contain approximately ______ pages – as outlined below. SERVICES RENDERED – Dave Grotzinger agrees to perform the following web site design services consisting of the following components, as needed: Programming Language: Currently, we offer web site design in PHP/MySQL, HTML, and ASP. SEARCH ENGINE KEYWORDS - Client to supply Dave Grotzinger with a list of most important 2-3 keyword-phrases that web surfers will most likely use to search for their site. Keyword-Phrases must be listed in order of importance, with first being most important, for example: physician placement, medical placement, physician consulting, medical management services, etc. Client will submit this info to me via dave@daves-webdesign.com. COST - Client and Dave Grotzinger agree that the services described in this contract shall be completed for $________, payable to “Dave Grotzinger.” PAYMENT - Client agrees to pay Dave Grotzinger $____ (50% of the total fee of $______) as a deposit upon execution of this Agreement. Remaining $_____ of $______ is due and payable upon satisfactory completion of web site development as agreed to herein. PERFORMANCE - Dave Grotzinger will submit a First Draft of web site no later than fourteen (14) days after Dave Grotzinger receives this signed agreement and deposit. Client to provide Dave Grotzinger with all data needed to complete web site, including text, company logos, and photos. Dave Grotzinger will complete web site within thirty (30) days from start date. WEB SITE DESIGN STANDARDS - All services described herein are to be performed by Dave Grotzinger in accordance with the most commonly accepted standards and practices of the Web Services Industry. Dave Grotzinger will use the most universally accepted web site design technologies to satisfy the broadest market possible - meaning your web site will look and act the same on over 85% of all web browsers in use at any given time. OPTIONAL MAINTENANCE - Dave Grotzinger can maintain your site monthly. Inquire separately what maintenance is and what it includes. ADDITIONAL SERVICES - The terms and conditions set forth in this document constitute the sole agreement between Dave Grotzinger and the Client regarding this web site, ______________________. Any additional work not specified in this contract must be authorized by both original parties in writing. Any additional web development, design, or pages needed beyond what is specified above will be charged at a rate of $35 per hour. WARRANTIES AND LIABILITY - Dave Grotzinger does not warrant the functions of site will meet Client's expectations of traffic or resulting business. In no event will Dave Grotzinger or my subcontractors be liable to Client or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate these web pages, even if Dave Grotzinger has been advised of the possibility of such damages. CANCELLATION - If Agreement is canceled before site is finished, Client forfeits initial deposit and may be held liable for breach of contract. TRADEMARKS & COPYRIGHTS - Client represents to Dave Grotzinger and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Dave Grotzinger for inclusion in web pages are owned by the Client, or Client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend Dave Grotzinger from any claim or suit arising from the use of such elements furnished by the Client. Dave Grotzinger initially owns copyright to the assembled work of web pages produced by Dave Grotzinger . Upon final payment of this contract, all rights owned by Dave Grotzinger as to the design, graphics, and text in this web site transfer to the Client. WEBMASTER CREDITS - For a minimum of 1 year, or as long as Dave Grotzinger is Webmaster, Client hereby agrees to allow Dave Grotzinger to display a small “Webmaster” hypertext link in footer of all pages within the site that, said link to open a new browser window; and not to remove any web author Meta-Tags in page source code that refer to Dave Grotzinger as the Client’s web site developer. LITIGATION - This Agreement shall be governed and construed in accordance with the laws of the State of Pennsylvania. The undersigned hereby agree to the terms, conditions and stipulations of this agreement on behalf of his or her organization. This Agreement constitutes the entire understanding of the parties. Any changes or modifications thereto must be in writing and signed by both parties. IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the date indicated below: |
